Consent & Release

I (“I” or “Participant”) submit this Consent and Release with the understanding that it will be relied upon to determine the Participant’s eligibility to participate in the Goji Games Tournaments (“Goji Games” or “Tournaments”), sponsored by Blue Goji LLC (“Sponsor”). 

I hereby affirm and warrant that I am a legal resident of one of the fifty (50) United States or the District of Columbia.   Promptly upon request, I will submit to Sponsor (or their agent), copies of true and valid identification evidencing my age and U.S. residency and/or work status with the Qualifying Organization. 

For Youths: I certify and warrant that I am the parent or legal guardian of the Participant and that the Participant is between the ages of 13 to 17 as of October 20, 2025.  

For Active Older Adults: I certify and warrant that I am 65 years or older as of October 20, 2025.  

For General Adults: I certify and warrant that I am over the age of 18 as of October 20, 2025.  

For Staff: I certify and warrant that I am a current employee of the Qualifying Organization that designated me.

I have thoroughly reviewed and fully accept the official rules for the Goji Games at www.bluegoji.com/gojigames (“Official Rules”).  I have complied, and through the remainder of the Goji Games will continue to comply with, the entirety of the Official Rules. I have committed no fraud or deception in participating in the Goji Games.  Without limiting any of the foregoing, I confirm and agree that all Goji Games activities have been and will continue to be performed by me and only me, without aid or assistance by any other person, device or mechanism.  

I hereby grant to Sponsor the absolute right and permission to use my name, biographical information, likeness, photos, videos, voice, and/or statements about the Goji Games and/or Sponsor in any and all advertising and promotional materials, or to refrain from doing so, in any manner or media whatsoever, worldwide, for advertising and promotional purposes in conjunction with this and similar promotions without notice to me and without further compensation.  I shall have no right of approval, no claim to any further compensation, and no claim arising out of the use, alteration, distortion, or illusionary effect or use in any composite form of my name, address, photograph, or likeness. 

I understand and acknowledge and hereby waive and release any and all rights, demands, losses, liabilities, claims, and causes of action whatsoever which I may now or hereafter be entitled to assert against each Sponsor, for myself, my heirs, executors, and administrators.  For the purpose of this waiver and release, “Sponsor” includes each Sponsor’s related companies, each such company’s respective officers, directors, owners, and employees, and their distributors and advertising, promotional, and fulfillment agencies.  This waiver and release covers any damage, liability, costs, attorneys’ fees, and expenses whatsoever, arising directly or indirectly out of my past and continued participation in the Goji Games.  This waiver and release includes, without limitation, personal injury, property damage, death, libel, slander, defamation, invasion of right of privacy/publicity, or any other claim.  

I acknowledge and confirm that no prizes or other compensation are offered or will be provided to me by Sponsor and Sponsor shall have no responsibility for any offers or commitments made by my Designated Organization or other third party. 

I state further that I have read the above publicity and liability release prior to its execution and that I fully understand its contents.

2025 Goji Games

Official Rules

  1. Overview

    The 2025 Goji Games Tournaments (“Goji Games” or “Tournaments”) are Blue Goji’s inaugural eSports tournaments for Blue Goji non-profit customers.  The Goji Games will consist of 12 tournaments in which individuals within 4 demographic groups compete in 2-4 different GojiPlay games depending on the group.  These individual competitors are selected by qualifying non-profit organization customers of Blue Goji to compete on behalf of the organization at a chance to win donations totaling $210,000 across the 12 separate tournaments.

  2. Basic Eligibility

    The Goji Games is open only to 501(c)(3) organizations that are current customers of the Sponsor who own qualifying Sponsor bike equipment (“Qualifying Organizations”) and their designated subscribing members and staff competitors (“Athletes”).   The following are not eligible for the Goji Games: (i) employees and agents of Blue Goji LLC or its advertising or PR agencies, brand ambassadors, influencers, contractors, agents, affiliates and other related parties; and (ii) the immediate family (spouse, parents, siblings and children) and household members of any person described in (i). The Tournament is subject to all federal, state and local laws and regulations and is void where prohibited by law.

     

  3. Sponsor

  4. Agreement to Official Rules

    Participation in the Goji Games constitutes the full and unconditional agreement of each Qualifying Organization and Athlete to these Official Rules and the decisions of Sponsor, which are final and binding.  Winning a prize is contingent upon fulfilling all requirements set forth herein in a timely manner.

  5. Tournament Period

    The Goji Games are scheduled to begin on October 20, 2025 and are scheduled to be completed on November 8, 2025.  For purposes of the Official Rules, all times are Central Time ("CT”).

  6. Tournament Outline

      1. Youth (13-17 years old; non-Staff)

      4. Staff (any age, must be employee of Qualifying Organization)

        *Above age requirement measured as of October 20, 2025.

        *Staff may choose to compete in either the Staff division or the General Adult division, but not both.

        *Active Older Adults may choose to compete in either the AOA division or the General Adult, but not both.

        *Once you select your division, your choice is final and cannot be changed.

    • Donation Prize Money Per Game Per Division

      • Gold: $10,000

      • Silver: $5,000

      • Bronze: $2,500

        *Donations will be made by Coleman Fung to the winning Athlete’s Qualifying Organization.

    • Basics

      • Youth (13-17 years old; non-Staff) will compete in (4 games) Castle Kart, Go Bikes, Vintage Wings and Go Battle

      • Active Older Adults (AOA) (65 years old and over; non-Staff) will compete (2 games)  Kreature Krunch and Solitaire

      • General (Ages 18 + ; non-Staff) will compete in (3 games) Kreature Krunch, Vintage Wings and Go Bikes

      • Staff (any age, must be employee of Qualifying Organization) will compete in (3 games) Kreature Krunch, Castle Kart and Go Battle

      • For each of the 4 age divisions, a separate Tournament will be held for the specified games, for a total of 12 Tournaments.  As a result, there will be 12 Gold awards, 12 Silver awards and 12 Bronze awards, for a total of $210,000 in donations to be awarded.

      • The Go Battle Games will feature 4 teams competing against each other in head-to-head matches to determine 1st, 2nd and 3rd place.

    • Qualification

      • Qualifying Organization.

        • Must be a valid 501(c)(3) non-profit organization and provide proof of status.

        • The organization must own at least one (1) “Goji Play Bike” (ie, Blue Goji bike enabled with Goji Play games, including Kreature Krunch, Go Bikes and Go Battle, Vintage Wings, Solitaire, Castle Kart).

        • Go Battle Games.

          • 4 teams will qualify for the live championship and this will be based on which organizations have the most time spent playing Go Battle cumulatively 

        • Each Qualifying Organization is responsible for verifying the age and status of each Athlete. Qualifying Organization shall certify to the foregoing and compliance with these rules.

          • Sponsor reserves the right at any time to review and require further proof of compliance from the Qualifying Organization and/or any Athlete.

          • If a single Athlete is found to be in non-compliance in any category, then the Qualifying Organization may be disqualified from ALL tournaments and any opportunity to win any donation prize will be lost.

        • Athletes

          • Each Athlete may be required to provide a photocopy of a valid driver’s license, passport, valid state ID card or other satisfactory proof of age.  

          • Each Athlete consents to these rules and related terms and consents to the use of their personal information in connection with the Goji Games and the promotion of the Goji Games, its Sponsor and their Qualifying Organization (minors will require the consent of their parent or guardian).

          • Each Athlete may only compete on behalf of one Qualifying Organization and within only one division.  The same person may be the Athlete for up to all three Goji Games within their division.

          • Youths.  For Youth Athletes, the consent of and acceptance of these rules by their parent or legal guardian will be required.

  7. To Register / Join GojiGames

    No later than November 2, 2025, each Qualifying rider must join GojiGames on the bike or on the App. To register for the Goji Games, riders must log in to their account on the app or the bike. Once logged in, a pop-up will appear allowing them to complete their registration for the Goji Games.

        • Vintage Wings – The 8 athletes with the highest game points advance.

        • Go Bikes (Island Mode) – The 12 athletes with the best time advance.

        • Kreature Krunch – The 16 athletes with the highest game points advance.

      • Active Older Adults (65+)

        • Kreature Krunch – The 16 athletes with the highest game points advance.

        • Solitaire – The 8 athletes with the fastest time to complete one hand advance.

      • Staff

        • Kreature Krunch – The 16 athletes with the highest game points advance.

        • Castle Kart – The 12 athletes with the highest game points advance.

        • Go Battle – The 4 organizations with the most total practice time advance.

          (*Note: Each game uses a different metric to determine top performers. The number of qualifying spots for each game may vary and is determined by the number of bikes an organization has. For example, if three AOA athletes achieve the best times in Solitaire but the organization only has one bike, only the top athlete can advance.)

      • Athlete information:

        • Each Athlete must have a Goji Play user account.  For Youths, their parent or legal guardian should register the Youth for their Goji Play user account.

      • 501(c)(3) Status.  Qualifying organizations must be a 501(c)(3) non-profit organization and provide proof of their 501(c)(3) status.

      • No substitutions.  No substitutions or replacements will be allowed once an athlete advances to the live championship.

  8. How to Play    

    • Qualifiers

      • The Qualifier Phase will be conducted from October 20, 2025 at 12:00 a.m. (ct) through November 2, 2025 at 11:59 p.m. (ct).

      • The Qualifiers will  operate in the format of a two week Challenge.

        •  Athletes may participate and attempt the challenge  as many times as desired during the Qualifier Period.

        •  Each Athlete’s best result  at the conclusion of the Qualifier Period shall be used for qualification purposes.

      • Advancement will be determined by placement within the qualifying spots allocated to each Game.  The number of qualifying spots will be based on: The maximum number of riders the Game’s multiplayer mode can accommodate; and the number of bikes available to the Athlete’s Organization.

      • An Organization may not advance more Athletes from a Qualifier than the number of bikes it owns.

        • Example: If an Organization owns two (2) bikes and four (4) of its Athletes rank in the top 16, only the top two (2) Athletes from that Organization shall advance.

        • Any vacated spots shall roll down to the next highest-ranking Athletes from other Organizations.

      • Qualifying for the Live Championship

          • Go Bikes (Island Mode) – The 12 athletes with the best time advance.

          • Kreature Krunch – The 16 athletes with the highest game points advance.

      • Kreature Krunch: the top 16 athletes will compete in real time via the Game’s multiplayer mode in the Finals, with the top 3 Athletes winning prizes for their Designated Organization.

      • Go Battle: the top 4 teams will compete in real time via the Game’s multiplayer mode in the Finals, with two heats. The two heats are required as this is a team based competition that hosts only 2 teams.

      • Solitaire: the top 12 athletes will compete in real time via the Game’s multiplayer mode in the Finals, with the top 3 Athletes winning prizes for their Designated Organization.

      • Go Bikes: the top 12 athletes will compete in real time via the Game’s multiplayer mode in the Finals, with two heats. The two heats are required as this is a team based competition that hosts only 2 teams.

      • Kreature Krunch: the top 16 athletes will compete in real time via the Game’s multiplayer mode in the Finals, with the top 3 Athletes winning prizes for their Designated Organization.

      • Castle Kart: the top 12 athletes will compete in real time via the Game’s multiplayer mode in the Finals, with the top 3 Athletes winning prizes for theirDesignated Organization.

    • Additional Information

      • Additional rules and information will be provided by Sponsor in advance of each round. It is the responsibility of each Athlete and their Designated Organization to ensure that the Athlete reviews the applicable rules and information prior to their respective competitions.

    • Scheduling.  Athletes and their Designated Organization will be provided specific times for the live competition via the bike or app. After the Qualifiers, all races will be in real time against other players in the Tournaments.  Thus, athletes must adhere to their scheduled start times.  It is the responsibility of each Athlete and their Designated Organization to ensure that the Athlete is properly logged into the Goji Games on their Goji Bike and ready to race at the scheduled time.  Failure to appear in the game play at the scheduled time will result in forfeiture.

    • No Assistance; Your Tournament Images; Camera.  All Tournament activities must be performed by each Athlete only, without aid or assistance by any other person, device or mechanism.  Each Athlete agrees that: (i) we may video or photograph them to you to ensure proper participation and compliance with Tournament rules; and (ii) we may and will take videos, photos or other images (collectively “Tournament Images”) of you while you are participating in the Tournaments, that your Tournament Images are the property of Sponsor, and that we may use your Tournament Images to verify your compliance with Tournament rules, and we may use and publicize your Tournament Images for publicity and promotional purposes. (See also “Publicity” below.)

  9. General Conditions

    In the event that the operation, security or administration of the Tournaments is impaired in any way for any reason, Sponsor may, in its sole discretion, suspend, modify and/or cancel the Tournaments.  Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the Tournament or to be acting in violation of these Official Rules or in a disruptive manner.  Any attempt by any person to undermine the operation of the Tournaments may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.  Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced. 

  10. Release and Limitation of Liability

    By entering in the Tournaments, each Qualifying Organization and Athlete (“Releasee”) agrees to release and hold harmless Sponsor, and its parent and related companies, and each such company’s respective officers, directors, employees, and agents and Coleman Fung and his family and related parties (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Tournament or receipt or use of any prize, including, but not limited to:  (a) unauthorized human intervention in the Tournaments; (b) technical or printing errors; (c) lost, late, postage-due, misdirected or undeliverable mail or email; (d) errors in the administration of the Tournaments or the processing of entries; or (e) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Tournaments or receipt or use of any prize. The Released Parties do not make any representation, warranty or guarantee, express or implied, relating to the Tournaments or prizes. Each Releasee further agrees that in any cause of action, the Released Parties’ liability will be limited to the actual out-of-pocket costs incurred in participating in the Tournaments, and in no event shall the Released Parties be liable for attorneys’ fees.

  11. Publicity

    By entering this Tournaments, except where prohibited by law, each Qualifying Organization and Athlete grants the Sponsor the irrevocable, sublicensable, absolute right and permission to use, publish, post or display their name, photograph, likeness, voice, video, prize information, biographical information, Tournament Images, Goji Games performance and other Goji Games related information, any quotes attributable to him or her and any other indicia of persona and other  (regardless of whether altered, changed, modified, edited, used alone, or used with other material in the Sponsor’ sole discretion) (collectively, “Tournament Information”) for advertising, trade, promotional and publicity purposes without further obligation or compensation of any kind to him or her, anywhere, in any medium now known or hereafter discovered or devised (including, without limitation, on the Internet), world-wide, without any limitation of time and without notice, review or approval and each entrant releases all Releasees from any and all liability related thereto; in the case of a Qualifying Organization, the foregoing shall apply to that Qualifying Organization’s officers, management and participating staff members.   Without limiting the foregoing, the Tournament Information of each winning Athlete and their Qualifying Organization of each Round, will be announced, and will be disclosed and made public for publicity and promotional purposes.  Nothing contained in these Official Rules obligate Sponsor to make use of any of the rights granted herein and each entrant waives any right to inspect or approve any such use.

  12. Terms of Service and Privacy Policy

    Each Athlete and Qualifying Organization will be subject to our general Terms of Services and Privacy Policy, both available at  www.bluegoji.com. To the extent any of those terms conflict with these Official Rules (such as the sections entitled “No Assistance; Your Tournament Images; Camera” and “Publicity” above), then these Official Rules will prevail. 

  13. Disputes / Choice of Law

    Except where prohibited, each Athlete and Qualifying Organization agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with the Tournaments or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by state or federal courts situated in Travis County, Texas; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys' fees; and (3) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, "Special Damages"), and (4) contestant hereby waives all rights to claim Special Damages and all rights to have such damages multiplied or increased. All issues and questions concerning these Official Rules, your rights and obligations, or Sponsor’ rights and obligations shall be governed by the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules.
